TERMS OF SERVICE Effective Date: December 19, 2025 1. ACCEPTANCE OF TERMS By accessing or using the Funny.CEO platform (the "Platform"), operated by Funny CEO LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Platform. 2. USER ACCOUNTS - You are responsible for maintaining the confidentiality of your account credentials. - You agree to provide accurate, current, and complete information during registration. - Funny CEO LLC reserves the right to suspend or terminate accounts that violate these terms. 3. ROLE-SPECIFIC RESPONSIBILITIES - Fans: You agree to use the Platform for personal entertainment and to respect the performance environment. - Comedians: You represent that you own or have the rights to any content you upload or perform. - Venues: You are responsible for the safety and management of your physical premises during shows booked via the Platform. 4. BEYOND THE STAGE: HECKLES & TRANSACTIONS - "Heckles" is the internal currency of Funny.CEO. - Heckle purchases are non-refundable, except as required by law. - Tips sent to comedians are final and non-reversible. - Funny CEO LLC acts as an intermediary for ticket sales and talent bookings; the contract for the performance is between the Venue and the Comedian/Fan. 5. INTELLECTUAL PROPERTY - Funny.CEO and its logos are trademarks of Funny CEO LLC. - Users retain ownership of their original content but grant Funny CEO LLC a worldwide, royalty-free license to display and promote such content on the Platform. 6. LIMITATION OF LIABILITY Funny CEO LLC is not liable for the quality of comedy performances, venue conditions, or interactions between users. The Platform is provided "as is" without warranties of any kind. 7. GOVERNING LAW These terms are governed by the laws of the State where Funny CEO LLC is registered, without regard to conflict of law principles. 8.
